THE FOLLOWING ANNOUNCEMENT IS BEING MADE PURSUANT TO THE REQUIREMENTS OF RULE
19.6(C)(II) OF THE CITY CODE ON TAKEOVERS AND MERGERS (THE "CODE") WHICH,
AMONGST OTHER THINGS, REQUIRES A PARTY TO AN OFFER TO MAKE AN ANNOUNCEMENT AT
THE END OF A PERIOD OF 12 MONTHS FROM THE DATE ON WHICH AN OFFER PERIOD ENDED
CONFIRMING WHETHER IT HAS TAKEN, OR NOT TAKEN, THE COURSE OF ACTION SET OUT IN
ITS STATED INTENTIONS.

Rule 19.6(c) confirmation in respect of post-offer intention statements made
regarding Brand Architekts Group plc ("Brand Architekts")

Warpaint announces that, further to the completion of Warpaint's recommended
acquisition of the entire issued and to be issued share capital of Brand
Architekts, which was implemented by way of a Court-sanctioned scheme of
arrangement under Part 26 of the Companies Act 2006 and became effective on 12
February 2025, it has duly confirmed in writing to The Panel on Takeovers and
Mergers in accordance with Rule 19.6(c) of the Code that it has complied with
the post-offer intention statements made pursuant to Rule 2.7(c)(viii) and
Rule 24.2 of the Code, as originally detailed in its Rule 2.7 announcement
dated 5 December 2024 and in the scheme document published by Brand Architekts
on 19 December 2024.

W7 is sold in the UK primarily to major retailers and internationally to local
distributors or retail chains. The Technic brand is sold in the UK and
continental Europe with a significant focus on the gifting market, principally
for high street retailers and supermarkets. In addition, Warpaint supplies
cosmetics under its other brand names of Man'stuff, Body Collection and Chit
Chat, each targeting a different demographic. Additionally, in February 2025,
Warpaint acquired Brand Architekts Group PLC with a number of complimentary
health, beauty and personal care brands, including Skin & Tan, Super
Facialist, Dirty Works and Fish Soho.
