    * Co as borrower, guarantors, HSBC as coordinator and agent, 
and other lenders entered into agreement 
    * Term loan facility agreement for up to a principal amount 
of HK$400 million, for a term of three years 
    * Under agreement, Wang Ya Nan  will cease to be chairman of 
company
