 * Ion group is under financial difficulties and is planning for reorganization 
   under the US bankruptcy code 
 * Purpose of entering into agreements is to rescue ion group and obtain control 
   by acquiring 100% common stock of reorganised equity of ion group 
 * Under restructuring support agreement consideration for acquisition of ion 
   group as represented by fund distribution of US$12 million
