    * Says merges with its unit Panelco by absorption 
    * Says its share capital after merge will increase 252,000 euro  ($287,254.80) 
    * Says each shareholder of Panelco will exchange 0.228 old shares of Panelco to 1 new share 
of Sidma, to be issued due to the merge 
    * Says each shareholder of Sidma will exchange  0.992 old shares for 1 new share
