Director Appointment and CFO Appointment

 

Sealand Capital Galaxy Limited (LSE: SCGL), is pleased to announce the
appointment of Mr Sunny Terng to the Board as an Independent Non-Executive
Director, with immediate effect. The Company further announces that it has
appointed Mr Peng Liu (Patrick) as Chief Financial Officer, with immediate
effect.

 

Chong Sun Terng - Independent Non-Executive Director, Audit Committee Chair

 

Mr. Chong Sun Terng (aged 35) is a finance and investment banking professional
with over 10 years' experience across audit, advisory and capital markets,
with a focus on cross-border transactions and capital raising. His experience
spans China, Hong Kong, Malaysia and the UK, covering M&A, strategic
investment execution, IPO advisory and financial and compliance advisory.

 

Mr. Terng is currently Executive Director, Investment Banking at Fernwin
Capital (Shenzhen) Co., Ltd. (April 2023 to present), working on cross-border
M&A and capital raising transactions, strategic investments in NASDAQ
listed companies and IPO advisory assignments.

 

Previously, he worked at GreenPro Capital Corp (Hong Kong) (Nasdaq: GRNQ)
(January 2022 to March 2023) in a financial advisory and audit capacity.
Earlier in his career, Mr. Terng was Audit Manager at Kaizen CPA Limited (Hong
Kong) (July 2019 to December 2021) and worked in audit in Malaysia.

 

The Company expects that Mr. Terng will serve as Chair of the Audit Committee.

 

In addition to his appointment at Sealand, Mr. Terng currently holds, or has
held during the past five years, the following directorships:

Peng Liu - Chief Financial Officer

 

Mr. Peng Liu (aged 33) is an experienced finance professional with a
background spanning auditing, financial management and IPO advisory. He has
worked on a range of audit and corporate finance assignments, including due
diligence, equity investment support, M&A advisory work, internal control
reviews and IPO planning, including cross-border listing and financing
projects.

 

Mr. Liu is currently Vice President (IBD) at Shiyida Enterprise Management
Consulting (Shenzhen) Co., Ltd. (October 2024 to present), where he oversees
domestic and overseas listing and financing projects, including project
screening and evaluation, due diligence, overseas IPO planning, compliance
initiatives, pre-IPO financing, restructuring and financial advisory work,
including designing and implementing red-chip structures.

 

Prior to this, he was Associate Manager at Dahua Certified Public Accountants
(Shenzhen) (February 2023 to October 2024), leading audit and advisory
projects including annual audits, internal control audits and risk and
compliance testing. He previously worked as an Auditor at Shinewing Certified
Public Accountants (Shenzhen) (October 2021 to February 2023).

 

Mr. Liu holds an MSc in Accounting and Finance from the University of Leeds
(UK) and a BSc in Accounting from the University of Tulsa (USA). He is fluent
in English and Chinese and has experience across IFRS, US GAAP and Chinese
Accounting Standards (CAS).
