SCHRODER INCOME GROWTH FUND PLC

 

DIRECTORATE CHANGE

 

Schroder Income Growth Fund plc (the "Company") today announces that Mr Ewen
Cameron Watt ("Mr Cameron Watt") will step down as Chairman and retire as a
Non-Executive Director of the Company with effect from the conclusion of the
Company's 2026 Annual General Meeting, which is currently expected to be held
in December 2026. Ms Victoria Muir, who has been an independent Non-Executive
Director of the Company since July 2019 and Senior Independent Director since
December 2022, will succeed Mr Cameron Watt as Chairman of the Board following
his retirement.

 

Mr Cameron Watt, Chairman of the Company, commented: "I am pleased to note
that your Company will benefit from an orderly and well‑planned transition,
and from continuity of leadership under a successor who knows your Company and
its investment objective well."

 

The Board intends to recruit and appoint an additional independent
Non-Executive Director in the second half of the calendar year. As part of
this process and the associated transition, the Board will consider the
respective chair appointments of the Company's Nomination, Remuneration, and
Management Engagement Committees. The Company will make a further announcement
via a Regulatory News Service in due course.

 

It is confirmed that there are no other details to be disclosed concerning the
directorship change described above under UK Listing Rule 6.4.6.
