* Says it plans business and capital alliance with TOHAN
CORPORATION
* Says it will issue 1.4 million shares to TOHAN through
private
placement, at the price of 994 yen per share, to raise 1.39
billion yen in total, with payment date on Aug. 31, and TOHAN
CORPORATION will acquire 100,000 shares of the company from
shareholder
* Says TOHAN CORPORATION will increase voting power in the
company
to 36.5 percent from 19.7 percent after the new share private
placement and shares acquisition, and will become top
shareholder of the company
