* Says it plans a business and capital alliance with Digital
Garage, Inc 4819.T , ATM Japan,Ltd. and other two partners
(four partners), regarding electronic regional currency related
business
* Says the company will transfer electronic regional
currency
related business to a new wholly owned unit, which will be
established in middle June, effective Aug. 1
* Says the new unit will issue new shares to the four
partners
through private placement, with payment date on Aug. 15, and the
company will cut stake in the new unit to 88.5 percent after the
new share private placement
