** Shares of watchmaker Fossil FOSL.O fall about 35% to $2.43 premarket

** Co extends deadline for exchange offer on $150 mln 7% senior notes due 2026 to Oct 22 from Oct 15

** Co has exchanged about 75.4% of the total amount so far

** This is the second time co has extended the offer, deadline was also pushed last week

** Co denies recent media report about potential IPO of India unit, says no offering being pursued

** Up to last close, FOSL stock has almost doubled YTD
