 NOTICE OF 2024 ANNUAL GENERAL MEETING

CHL, the ultimate parent company of Conduit Reinsurance Limited ("Conduit
Re"), a Bermuda-based reinsurance business, yesterday announced that its 2025
Annual General Meeting ("AGM") will be held at CHL's offices at 2nd Floor,
Ideation House, 94 Pitts Bay Road, Pembroke, HM08, Bermuda at 10:00 a.m.,
Bermuda time on 14 May 2025.

The Notice of CHL's 2025 Annual General Meeting (the "AGM Notice") was
distributed to shareholders on 9 April 2025 and, in accordance with Listing
Rule 9.6.1, will be submitted to the National Storage Mechanism, where it will
be available for inspection at
https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

A copy of the AGM Notice is also available on the "Shareholder information and
communications" page within the "Corporate Governance" section of CHL's
website (www.conduitreinsurance.com). A Form of Proxy and a Form of
Instruction (for depositary interest holders) for the AGM are available on the
same web page.

CHL will offer shareholders the ability to join the AGM via video conference
(subject to pre-registration requirements), as detailed in the AGM Notice.

Shareholders wishing to vote on any of the matters of business at the AGM are
strongly encouraged to submit their votes in advance by using one of the
methods set out in the AGM Notice. Shareholders should appoint the chair of
the AGM as their proxy to ensure that their vote is counted. Depositary
interest holders will need to submit their votes via the custodian or via the
online or CREST voting system as detailed on the Form of Instruction that
accompanies the AGM Notice.
