Following the completion of the acquisition of Eversholt Rail by Beacon Rail,
the Issuer and/or its affiliates intend to evaluate various options relating
to the potential optimisation of the group's capital structure including
refinancing options related to all or certain of the Issuer's existing
indebtedness and any other financing solutions as the group and its affiliates
consider appropriate from time to time. As part of such evaluation, the Issuer
and its affiliates may enter into discussions from time to time with potential
lenders and investors, seeking market feedback on potential capital
