    * Company entered into a conditional subscription agreement 
with individual subscribers 
    * company has agreed to issue and subscribers have agreed to 
subscribe for new shares all at a price of hk$0.35 per share 
    * Gross proceeds and net proceeds from subscription 
agreement will be approximately hk$30.0 million and hk$29.8 
million respectively
