Notice of AGM and Proposed Board Changes

 

Asia Strategic Holdings Ltd. (LSE: ASIA), the independent developer and
operator of consumer businesses in Emerging Asia, announces that its Annual
General Meeting ("AGM") will be held in Singapore on 16 March
2026 at 10:00 am (Singapore time). A video conference link will be
provided for members in the notice of AGM to join the meeting live.

 

A copy of the notice of AGM and associated proxy form has been posted to
shareholders and will be available shortly on the Company's website
at https://asia-strategic.com/.

 

The Group announces that Christopher Clarke, Non-Executive Director, has
informed the Company that he will not be seeking re-election as a director of
the Company at the upcoming AGM and will be stepping down from the Board upon
conclusion of the AGM.

 

Concurrently, the Company intends to appoint Ranieri Sabatucci as an
Independent Non-Executive Director of the Company. A resolution will be put to
shareholders at the AGM with regards to the proposed appointment of Ranieri
Sabatucci and, subject to the passing of this resolution, Mr Sabatucci is
expected to be appointed to the Board of Asia Strategic upon conclusion of the
AGM.

 

Mr Sabatucci's career spans 40 years, including various delegation
appointments globally for the European Commission. His most recent experience
includes being the Ambassador and Head of the European Union Delegation to the
Republic of the Union of Myanmar, starting in September 2020 until July 2025.

 

Enrico Cesenni, Chief Executive Officer of Asia Strategic, commented:

to the European Union for four decades, his extensive knowledge of Myanmar and
developing markets, and his ability to implement a strategic focus whilst
scaling leadership, has agreed to join the Board as a Non-Executive Director,
pending approval at the AGM.

 

"On behalf of the Board, we would like to acknowledge and thank Christopher's
long tenure as a Non-Executive Director. He has been extremely valuable in
helping scope the direction of the Company throughout complex times, and we
would like to thank him for his contribution."
